These Terms of Service (hereinafter "ToS") govern access to and use of the RideComposer software, developed and marketed by Pascal ROMBAUX, a sole trader established under Belgian law (hereinafter "the Publisher").
RideComposer is a professional software tool intended for indoor cycling instructors, covering the Spinning®, Schwinn Cycling®, Globe Cycling® and BICA methods, as well as the Free Ride teaching method, which does not require certification (Group Cycling: coming soon). It is distributed on a subscription basis, for computers running Windows.
Accessing the software implies full and unconditional acceptance of these ToS. Any use of the software constitutes unreserved acceptance of all provisions herein.

These ToS are intended to define the conditions under which Pascal ROMBAUX makes the RideComposer Software available, as well as the respective rights and obligations of the Publisher and the User.
The Software is intended for professional use, designed for certified instructors practising in the field of indoor cycling. The Software is compatible with Windows 10 and Windows 11 operating systems. macOS compatibility is planned for a future version.
Use of the Software does not require a user account. An account, identified by an email address and a single-use login code sent to that address, is required only for the optional online services: online backup of rides and their playback on a phone or tablet. The User undertakes to provide an accurate email address to which they have access.
Every new User benefits from a free trial period of ten (10) days of use, to be taken within thirty (30) calendar days of the first launch of the Software. One day of use is counted for each day on which the Software is opened, regardless of the number of times it is opened that day. The trial period ends as soon as either of these two limits is reached. Only one trial period is granted per computer.
During the trial period, the Software offers all of its features, including those of the Pro+ plan (external screen, video mode, remote control). Counting of the trial period requires an Internet connection; without a connection, the Software remains usable for twenty-four (24) hours. No billing is carried out and no payment method is requested.
At the end of the trial period, use of the Software requires the activation of a paid licence. Data created during the trial period is saved on the User's computer; the Publisher does not delete it, and it becomes usable again as soon as a licence is activated.
The Software is distributed with a licence key protection mechanism (HMAC-SHA256). The licence key is provided to the User upon subscription. A licence permits use of the Software on one (1) computer only; the User may transfer it to a replacement computer by contacting info@ridecomposer.com. The licence is revalidated online each time the Software is launched: the Software must connect to the Internet at least once every thirteen (13) days, and is locked after seventeen (17) days without successful revalidation, until the next connection. Any attempt to circumvent the licence system constitutes a breach of these ToS and may result in immediate termination of the subscription.

The subscription is taken out and billed monthly or annually, depending on the option chosen, through Lemon Squeezy, our authorised reseller and merchant of record; card payments are processed by Stripe Inc. as a payment sub-processor. The User authorises Pascal ROMBAUX to automatically charge the amount corresponding to the chosen plan on each monthly or annual renewal date of the subscription. Prices are stated in euros, inclusive of all taxes (VAT included). Pascal ROMBAUX reserves the right to modify his pricing subject to thirty (30) days' notice notified by email.
The wireless remote control (a physical product, usable with the Pro+ plan) is sold separately by Pascal ROMBAUX, independently of the subscription; payment for it is processed by Stripe.
The User has fourteen (14) days from the first paid subscription to exercise their right of withdrawal, in accordance with the European regulations applicable to distance contracts. After this period, no refund will be granted for the current subscription period, except in the event of a serious breach of obligations by Pascal ROMBAUX.

Pascal ROMBAUX grants the User, for the duration of their subscription, a personal, non-exclusive, non-transferable and non-sub-licensable licence to use the RideComposer Software, limited to worldwide territory for strictly professional use.
The User is expressly prohibited from:
Pascal ROMBAUX may make updates to the Software available. Certain updates may be mandatory and may condition continued access to the Software.
The RideComposer Software, its architecture, source code, interfaces, functionalities, graphics and all associated documentation are the exclusive property of Pascal ROMBAUX and are protected by intellectual property laws, in particular Belgian and European copyright law.
The names Spinning®, Schwinn Cycling®, Globe Cycling® are registered trademarks belonging to their respective owners (Mad Dogg Athletics, Nautilus, Precor, etc.). Pascal ROMBAUX is not affiliated with these entities and uses these names solely for descriptive purposes, to indicate the pedagogical compatibility of the Software with these disciplines. The use of these names in the Software does not confer any rights over these trademarks to the User.
The User retains ownership of all content they create within the Software (rides, annotations, pedagogical programmes). They grant Pascal ROMBAUX a limited, non-exclusive licence solely for the purpose of providing the online services they choose to use (online backup and playback on a phone or tablet).
The Software allows the import and analysis of audio files (MP3, FLAC, etc.) stored locally on the User's device. In this regard:
The Software has no feature for sharing rides between users. Ride export (Pro and Pro+ plans) is intended for the User's personal backup; the files it contains remain under the User's sole responsibility.

Pascal ROMBAUX undertakes to make every effort to ensure the availability of the Software and associated services. Service interruptions may occur due to maintenance, updates or force majeure. Planned maintenance operations will be notified in advance by email within a reasonable timeframe.
The User may cancel their subscription at any time, via the Lemon Squeezy customer portal (the subscription management link included in the order confirmation emails) or by writing to info@ridecomposer.com. Termination takes effect at the end of the current subscription period. No pro-rata refund will be granted.
Pascal ROMBAUX reserves the right to suspend or terminate access to the Software in the following cases: non-payment of the subscription, breach of these ToS, fraudulent behaviour, attempt to circumvent the licence mechanisms, use of the Software for unlawful purposes. In the event of termination due to the User's fault, amounts already paid remain due to Pascal ROMBAUX.
To the extent permitted by applicable law, Pascal ROMBAUX shall not be liable for indirect, consequential or immaterial damages resulting from the use of or inability to use the Software, loss of data, violations of music rights committed by the User, or failures of the User's computer hardware.
In any event, Pascal ROMBAUX's liability shall not exceed the amounts actually paid by the User for the subscription during the twelve (12) months preceding the occurrence of the damage.
Pascal ROMBAUX reserves the right to amend these ToS at any time. Any material amendment will be notified to the User by email at least thirty (30) days before it comes into force. In the event of disagreement, the User may cancel their subscription before the effective date of the amendments. Continued use of the Software after that date constitutes acceptance of the new ToS.
These ToS are governed by Belgian law. In the event of a dispute, the parties undertake to seek an amicable resolution within thirty (30) days of notification of the dispute. Failing amicable resolution, any dispute shall be submitted to the exclusive jurisdiction of the Belgian courts, without prejudice to the right of a consumer User to bring proceedings before the courts of their domicile in accordance with applicable European law.
