These Terms of Service (hereinafter "ToS") govern access to and use of the RideComposer software, developed and marketed by R&D Technology - Pascal ROMBAUX, a sole trader established under Belgian law (hereinafter "the Publisher").
RideComposer is a professional software tool intended exclusively for certified indoor cycling instructors, covering four disciplines: Spinning®, Schwinn Cycling®, Globe Cycling® and BICA (Group Cycling: coming soon). It is distributed as a SaaS subscription for Windows operating systems (version 1.0).
Accessing the software implies full and unconditional acceptance of these ToS. Any use of the software constitutes unreserved acceptance of all provisions herein.

These ToS are intended to define the conditions under which R&D Technology - Pascal ROMBAUX makes the RideComposer Software available, as well as the respective rights and obligations of the Publisher and the User.
The Software is intended for professional use, designed for certified instructors practising in the field of indoor cycling. Version 1.0 is compatible with Windows 10 and Windows 11 operating systems. macOS compatibility is planned for a future version.
Access to the Software requires the creation of a user account via the ridecomposer.com website. The User undertakes to provide accurate, complete and up-to-date information at the time of registration.
Every new User benefits from a thirty (30)-day trial period starting from the date of Software activation. During this period, no billing is carried out. At the end of the trial period, access to the Software is automatically suspended unless the User subscribes to a paid plan. Data created during the trial period is retained for a further thirty (30) days before permanent deletion.
The Software is distributed with a licence key protection mechanism (HMAC-SHA256). The User may only use the Software on the number of devices authorised by their subscription plan. Any attempt to circumvent the licence system constitutes a breach of these ToS and may result in immediate account termination.

The subscription is taken out and billed monthly through Lemon Squeezy, our authorised reseller and merchant of record; card payments are processed by Stripe Inc. as a payment sub-processor. The User authorises R&D Technology - Pascal ROMBAUX to automatically charge the amount corresponding to the chosen plan on each monthly anniversary date of the subscription. Prices are stated in euros, inclusive of all taxes (VAT included). R&D Technology - Pascal ROMBAUX reserves the right to modify its pricing subject to thirty (30) days' notice notified by email.
The User has fourteen (14) days from the first paid subscription to exercise their right of withdrawal, in accordance with the European regulations applicable to distance contracts. After this period, no refund will be granted for the current subscription period, except in the event of a serious breach of obligations by R&D Technology - Pascal ROMBAUX.

R&D Technology - Pascal ROMBAUX grants the User, for the duration of their subscription, a personal, non-exclusive, non-transferable and non-sub-licensable licence to use the RideComposer Software, limited to worldwide territory for strictly professional use.
The User is expressly prohibited from:
R&D Technology - Pascal ROMBAUX may make updates to the Software available. Certain updates may be mandatory and may condition continued access to the Software.
The RideComposer Software, its architecture, source code, interfaces, functionalities, graphics and all associated documentation are the exclusive property of R&D Technology - Pascal ROMBAUX and are protected by intellectual property laws, in particular Belgian and European copyright law.
The names Spinning®, Schwinn Cycling®, Globe Cycling® are registered trademarks belonging to their respective owners (Mad Dogg Athletics, Nautilus, Precor, etc.). R&D Technology - Pascal ROMBAUX is not affiliated with these entities and uses these names solely for descriptive purposes, to indicate the pedagogical compatibility of the Software with these disciplines. The use of these names in the Software does not confer any rights over these trademarks to the User.
The User retains ownership of all content they create within the Software (rides, annotations, pedagogical programmes). They grant R&D Technology - Pascal ROMBAUX a limited, non-exclusive licence solely for the purpose of providing the services (backup, synchronisation, sharing if applicable depending on the plan).
The Software allows the import and analysis of audio files (MP3, FLAC, etc.) stored locally on the User's device. In this regard:
Sharing rides between instructors never includes the audio files themselves, but only structured metadata (title, artist, BPM, duration, pedagogical zones).
R&D Technology - Pascal ROMBAUX processes your personal data in accordance with the GDPR and the Belgian law of 30 July 2018. For full information on the processing of your data, please consult our Privacy Policy.
R&D Technology - Pascal ROMBAUX undertakes to make every effort to ensure the availability of the Software and associated services. Service interruptions may occur due to maintenance, updates or force majeure. Planned maintenance operations will be notified in advance by email within a reasonable timeframe.
The User may cancel their subscription at any time from their account area on ridecomposer.com. Termination takes effect at the end of the current subscription period. No pro-rata refund will be granted.
R&D Technology - Pascal ROMBAUX reserves the right to suspend or terminate access to the Software in the following cases: non-payment of the subscription, breach of these ToS, fraudulent behaviour, attempt to circumvent the licence mechanisms, use of the Software for unlawful purposes. In the event of termination due to the User's fault, amounts already paid remain due to R&D Technology - Pascal ROMBAUX.
To the extent permitted by applicable law, R&D Technology - Pascal ROMBAUX shall not be liable for indirect, consequential or immaterial damages resulting from the use of or inability to use the Software, loss of data, violations of music rights committed by the User, or failures of the User's computer hardware.
In any event, R&D Technology - Pascal ROMBAUX's liability shall not exceed the amounts actually paid by the User for the subscription during the twelve (12) months preceding the occurrence of the damage.
R&D Technology - Pascal ROMBAUX reserves the right to amend these ToS at any time. Any material amendment will be notified to the User by email at least thirty (30) days before it comes into force. In the event of disagreement, the User may cancel their subscription before the effective date of the amendments. Continued use of the Software after that date constitutes acceptance of the new ToS.
These ToS are governed by Belgian law. In the event of a dispute, the parties undertake to seek an amicable resolution within thirty (30) days of notification of the dispute. Failing amicable resolution, any dispute shall be submitted to the exclusive jurisdiction of the Belgian courts, without prejudice to the right of a consumer User to bring proceedings before the courts of their domicile in accordance with applicable European law.
